NOTICE TO SHAREHOLDERS

Notice is hereby given that the Shareholders’ Meeting approved, amongst other things, the Financial Statements of the Company as at December 31, 2006 and resolved to allocate a part of the net income to the Shareholders as dividend, calculated on the basis of the following amounts: 0.1400 euro for each ordinary share and 0.1510 euro for each savings share, inclusive of possible withholdings due by law.
The dividend, which is represented by coupon number 4 for both classes of shares, will be made available for payment through the authorized intermediaries from April 26, 2007, ex dividend date April 23, 2007.

We also, furthermore, remind you that in accordance with the Regulations of the “Telecom Italia 1.5% 2001-2010 convertible bonds with premium upon redemption”, the request for conversion of the bonds will resume on April 24, 2007.

FINANCIAL STATEMENTS AND CONSOLIDATED FINANCIAL STATEMENTS AS AT DECEMBER 31, 2006

The financial statements and the consolidated financial statements as at December 31, 2006, together with the documentation as provided for by current regulations are available to the public at the registered office of the Company as well as at Borsa Italiana S.p.A..

The minutes of the Shareholders’ Meeting will be made available to the public within the time limits established by law.
