Tim successfully prices a euro 750 million 5 year bond issuance

The company successfully returns to the Eurobond market, confirming a strong interest from institutional investors

TIM announces that, following the Board of Directors’ resolution of 10 May 2023 and following the completion of the book-building process, has successfully priced a Euro 750 million senior unsecured fixed-rate bond offered to institutional investors (the “Notes”). 

 

The proceeds of the Notes will be used to repay TIM’s short-term debt maturities, including by way of tender offers for TIM’s existing notes, for general corporate purposes and/or to pay any fees and expenses in connection with the issuance of the Notes. Further information on the results of the tender offers on the 2024 Euro bonds announced yesterday will be provided upon termination of the relevant offering period.

 

Below are the details:

 

Issuer: TIM S.p.A.

Amount: Euro 750 million

Settlement date: 20 July 2023

Maturity: 31 July 2028

Coupon: 7.875% per year

Issue price: 99.996%

 

The terms and conditions governing the Notes include covenants on the issuer typical for this kind of transaction, such as, a negative pledge and the limitation to the possibility to carry out extraordinary corporate transactions, unless in compliance with certain predetermined parameters. The Notes will also be subject to certain optional redemption features, enabling the issuer to redeem the Notes, in whole or in part, as applicable, in the circumstances and at the redemption prices specified in the terms and conditions governing the Notes. 

 

Application will be made for the Notes to be listed on the Euro MTF market of the Luxemburg Stock Exchange. It is expected that the rating agencies will assign to the Notes a rating of B1 / B+ / BB- (Moody's / S&P’s / Fitch).
