The Board of Directors of TIM met today under the chairmanship of Alberta Figari and resolved to serve notice of termination to Infrastrutture Wireless Italiane ("INWIT") of the Master Service Agreement in place between the parties ("MSA"), effective as of the contractual expiry date of August 2030, following the change-of-control clause exercised in 2022.
Following the notice of termination of the MSA with INWIT recently served by Fastweb + Vodafone, the Company further clarifies that, should it be established - whether by court ruling or by agreement between the parties - that the change of control occurred in December 2020 triggered the applicability of the relevant contractual clause, today's notice shall also be deemed as termination notice effective with respect to the original expiry date of 31 March 2028.
The decision is part of the Company's ongoing effort to optimize its infrastructure cost base, consistent with the initiatives recently announced to the market, and falls within TIM's ordinary operational and industrial optionality in managing its infrastructure perimeter and commercial relationships.
TIM will enter into negotiations with INWIT to agree on a multi-year migration plan ensuring operational continuity beyond the contract expiry, in compliance with the mutual contractual obligations set forth in the MSA. The Group remains open to discuss with INWIT a comprehensive review of the economic and service terms of the agreement, in the interest of all stakeholders and with a view to continue developing Italy’s strategic infrastructure investments.
