TIM Group has completed the acquisition of a 70% stake in VoiSmart, an Italian technology company that develops proprietary solutions for unified and omnichannel communications, Wi-Fi customer engagement and artificial intelligence.

With this transaction, TIM Enterprise, the TIM Group business unit that supports large businesses, public administrations and strategic sectors in their digital transformation, expands the range of technologies it directly controls in VoIP, omnichannel communications, collaboration and artificial intelligence. This helps reduce reliance on third-party technologies and strengthen customers’ digital sovereignty through full control over platforms, data and communication processes, while leveraging VoiSmart’s distinctive expertise.

“With this transaction, we bring outstanding Italian technologies and expertise into TIM Enterprise, strengthening our ability to develop and directly control the platforms underpinning our customers’ digital services. This is another building block in our offering for the digital sovereignty of businesses and public administrations. For organisations managing critical services, relying on technologies developed and controlled in Italy provides concrete assurances about where data resides and how communication processes are governed. With the growing convergence of connectivity, cloud and artificial intelligence, control over platforms is a prerequisite for business competitiveness and public administration efficiency”, said Mirko Mischiatti, TIM Chief Enterprise and Innovative Solutions Officer.

Biagio Passaro, previously VoiSmart’s sole director and majority shareholder through Girasoli S.r.l., is the new Chief Executive Officer and will remain a minority shareholder alongside the main previous shareholders. The transaction closed on 3 September, and the agreements include put and call options that will allow TIM to acquire the remaining equity stake by 2030.

“When we founded VoiSmart, our ambition was to turn research and innovation developed in Italy into technologies capable of competing in the market. TIM’s investment marks an important step in this journey and allows us to take our project to an even more ambitious level,” said Biagio Passaro, Chief Executive Officer of VoiSmart. “Combining VoiSmart’s expertise, agility and capacity for innovation with TIM Enterprise’s industrial strength and market presence means strengthening Italy’s ability to develop and control strategic technologies for digital communications, while creating the conditions to bring our solutions to a much broader scale, both in Italy and in international markets”.

Integrating VoiSmart’s expertise will also accelerate the development of new cloud and AI solutions, fostering greater convergence between connectivity, voice communications, collaboration, customer engagement and advanced digital services.
