Telecom Italia S.p.A. annuncia offerte di riacquisto di obbligazioni proprie

Il presente comunicato non può essere distribuito negli Stati Uniti, né ad alcuna persona che si trovi o sia residente o domiciliata negli stati uniti, i suoi territori o possedimenti, in qualsiasi stato degli Stati Uniti o nel distretto di Columbia (inclusi Porto Rico, Isole Vergini, Guam, Samoa, Isole Wake, Isole delle Marianne settentrionali) ovvero a qualunque persona che si trovi o sia residente in ogni altra giurisdizione in cui la distribuzione del presente documento sia contraria alla legge.

Telecom Italia S.p.A. (la Società) con il presente comunicato annuncia l'invito, rivolto ai Portatori idonei delle proprie Notes denominate, rispettivamente, “€750,000,000 4.625 per cent Notes due 2015” (le Notes con scadenza 2015); “€1,000,000,000 5.125 per cent Notes due 2016” (le Notes con scadenza 2016); “€1,000,000,000 7.00 per cent Notes due 2017” (le Notes con scadenza Gennaio 2017); e “€1,000,000,000 4.500 per cent Notes due 2017” (le Notes con scadenza Settembre 2017 e, congiuntamente alle Notes con scadenza 2015, le Notes con scadenza 2016 e le Notes con scadenza Gennaio 2017, le Notes e ciascuna una Serie), ad offrire le proprie Notes per il riacquisto da parte della Società a fronte di un corrispettivo in denaro (tale invito con riferimento a tutte le Serie, le Offerte e ciascuna un’Offerta).

Le Offerte sono soggette ai termini e alle condizioni previsti dal tender offer memorandum del 12 gennaio 2015 (il Tender Offer Memorandum) predisposto in relazione alle Offerte ed è soggetto alle restrizioni di offerta e distribuzione indicate di seguito. I termini in maiuscolo nel presente comunicato non altrimenti definiti hanno il significato ad essi attribuito nel Tender Offer Memorandum.

Finalità e Contesto delle Offerte

La Società intende emettere nuove obbligazioni denominate in euro (le Nuove Notes) ai sensi del proprio €20.000.000.000 Euro Medium Term Note Programme. Una parte del ricavato delle Nuove Notes sarà destinata al pagamento del Prezzo di Riacquisto e/o il Pagamento dell’Interesse Maturato per le Notes accettate in acquisto ai sensi delle Offerte. Questo permetterà alla Società di rifinanziare anticipatamente il proprio debito in scadenza, approfittando delle attuali favorevoli condizioni di mercato ed estendendo la scadenza media del proprio debito. Le Offerte mettono a disposizione, inoltre, una fonte di liquidità ai Portatori di quelle Notes che sono riacquistate ai sensi delle Offerte.

Descrizione delle Offerte

Ammontare Massimo Complessivo

La Società propone di accettare il riacquisto delle Notes ai sensi delle Offerte fino ad un ammontare massimo complessivo delle Notes conferite in acquisto determinato ad esclusiva discrezione della Società non appena possibile dopo l’orario di fissazione del prezzo delle Nuove Notes (l’Ammontare Massimo Complessivo). La Società si riserva in ogni caso il diritto, a propria esclusiva discrezione e per qualsiasi ragione, di modificare l’Ammontare Massimo Complessivo ovvero di accettare un ammontare superiore o inferiore all’Ammontare Massimo Complessivo per il riacquisto delle Notes ai sensi delle Offerte. La Società annuncerà l’Ammontare Massimo Complessivo non appena possibile successivamente all’orario di determinazione del prezzo delle Nuove Notes (previsto in data odierna).

La Società determinerà a propria esclusiva discrezione l’allocazione dell’ammontare che avrà accettato di riacquistare ai sensi delle Offerte tra ciascuna Serie (gli Ammontari Accettati delle Serie), salvo il fatto che la Società fisserà ciascun Ammontare Accettato della Serie a un livello tale da assicurare che l’ammontare nominale complessivo delle Notes che la Società accetterà di riacquistare non sarà superiore all’Ammontare Massimo Complessivo.

Ciononostante, la Società si riserva il diritto di riacquistare Notes di una Serie in ammontare (che può essere o meno rilevante) superiore o inferiore alle Notes di una diversa Serie come pure di non riacquistare alcuna delle Notes di una Serie.

Condizioni della Nuova Emissione

La Società intende emettere le Nuove Notes.  L’acquisto da parte dell’Offerente di qualsiasi Notes ai sensi delle Offerte è subordinato al buon esito (al giudizio della Società) dell’emissione delle Nuove Notes (le Condizioni della Nuova Emissione). Le Notes che non siano state validamente offerte e accettate ai sensi delle Offerte rimarranno in essere ed in circolazione dopo la Data di Pagamento.

Prezzi di Riacquisto

Prezzo di Riacquisto per l’Offerta relativa alle Notes con scadenza 2015

La Società pagherà per le Notes con scadenza 2015 che avrà accettato di riacquistare nell’ambito delle Offerte un prezzo di riacquisto (il Prezzo di Riacquisto) del 101,65%, i.e. Euro 101.650 per ogni Euro 100.000 in valore nominale delle Notes con scadenza 2015 che avrà accettato di riacquistare nell’ambito dell’Offerta relativa alle Notes con scadenza 2015.

Prezzo di Riacquisto per le Offerte relative alle Notes con scadenza 2016, le Notes con scadenza Gennaio 2017 e le Notes con scadenza Settembre 2017

La Società pagherà, per le Notes con scadenza 2016, le Notes con scadenza Gennaio 2017 e le Notes con scadenza Settembre 2017 che avrà accettato di riacquistare nell’ambito delle Offerte un prezzo di riacquisto (ciascuno di tali prezzi, il relativo Prezzo di Riacquisto, espresso in percentuale e arrotondato al terzo numero decimale, con 0,0005 arrotondato per eccesso) che sarà determinato intorno alle ore 11.00 (CET) (l’Orario di Determinazione del Prezzo) del 21 gennaio 2015 (salvo il diritto della Società di estendere, riaprire, modificare e/o chiudere qualsiasi Offerta) (la Data di Determinazione del Prezzo) secondo le modalità indicate nel Tender Offer Memorandum, facendo riferimento alla somma (ciascuna di tali somme, il relativo Rendimento di Riacquisto) del (a) relativo Spread di Riacquisto e (b) relativo Tasso di Interesse di Riferimento per ciascuna Serie (come indicato nella precedente tabella).

Il Prezzo di Riacquisto in relazione alle Notes con scadenza 2016, le Notes con scadenza Gennaio 2017 e le Notes con scadenza Settembre 2017 sarà determinato all’Orario di Determinazione del Prezzo alla Data di Determinazione del Prezzo secondo quanto indicato nel Tender Offer Memorandum, in conformità alla prassi mercato, e ha lo scopo di riflettere il rendimento a scadenza della relativa Serie alla Data di Pagamento, pari al relativo Rendimento di Riacquisto. In particolare, il Prezzo di Riacquisto in relazione alle Notes con scadenza 2016, le Notes con scadenza Gennaio 2017 e le Notes con scadenza Settembre 2017 sarà pari (a) al valore di tutti i pagamenti in linea capitale ed in linea interessi ancora dovuti per ciascuna relativa Serie fino alla data di scadenza (compresa) di tale Serie, applicando, alla Data di Pagamento, un fattore di sconto pari al relativo Rendimento di Riacquisto, meno (b) l’Interesse Maturato. Si rinvia la paragrafo “Interesse Maturato” che segue.

Il calcolo del relativo Rendimento di Riacquisto e del relativo Prezzo di Riacquisto in relazione alle Notes con scadenza 2016, le Notes con scadenza Gennaio 2017 e le Notes con scadenza Settembre 2017, e del relativo Interesse Maturato per ciascuna Serie di Notes sarà effettuato dai Dealer Manager per conto della Società e tali calcoli si intenderanno definitivi e vincolanti per i portatori delle Notes in assenza di errori manifesti.

Interesse maturato

La Società pagherà, inoltre, l’Interesse Maturato sulle Notes accettate per il riacquisto secondo la relativa Offerta (il Pagamento dell’Interesse Maturato).

Riparto

Qualora la Società accetti di riacquistare Notes di qualunque Serie ai sensi della relativa Offerta e l’ammontare nominale complessivo delle Notes di tale Serie validamente offerte nella relativa Offerta ecceda l’Ammontare Accettato della Serie per quelle Serie, la Società intende accettare tali Notes su base pro rata in modo tale che l’ammontare nominale complessivo delle Notes di tale Serie accettate per il riacquisto ai sensi della relativa Offerta non sia superiore all’Ammontare Accettato della Serie.

Istruzioni per l’Offerta

Per poter partecipare ed avere il diritto a ricevere il pagamento del relativo Prezzo di Riacquisto ai sensi di un’Offerta, i Portatori delle Notes dovranno offrire le Notes per il riacquisto consegnando, ovvero facendo in modo che sia consegnata per loro conto, una valida Istruzione per l'Offerta che dovrà essere ricevuta dall'Agente dell'Offerta (Tender Agent) entro le ore 17.00 (CET) del 20 gennaio 2015. Le Istruzioni per l'Offerta saranno irrevocabili fatta eccezione per il ristretto numero di casi in cui ne sia consentita la revoca, così come indicato nel Tender Offer Memorandum.

Le Istruzioni per l'Offerta dovranno essere presentate per un ammontare nominale minimo delle Notes di ciascuna Serie non inferiore a Euro 50.000 in relazione alle Notes con scadenza 2016 e Euro 100.000 riguardo le Notes con scadenza 2015, le Notes con scadenza Gennaio 2017 e le Notes con scadenza Settembre 2017, ossia per il taglio minimo di ciascuna serie; con riferimento alle Notes con scadenza 2015 e alle Notes con scadenza Gennaio 2017 e Settembre 2017, potranno essere presentati istruzioni per multipli di Euro 1.000 oltre il predetto relativo taglio minimo.

I Portatori delle Notes sono invitati a verificare con la banca, l'intermediario dei titoli o qualsiasi altro intermediario tramite il quale essi detengono le Notes la tempistica richiesta da tale intermediario per ricevere le istruzioni da un Portatore di Notes affinché tale Portatore di Notes sia in grado di partecipare, o (nei limitati casi in cui la revoca sia prevista) di revocare le istruzioni a partecipare ad un’Offerta, prima dei termini di scadenza specificati nel Tender Offer Memorandum. Italy

None of the Offers, the Tender Offer Memorandum or any other documents or materials relating to the Offers have been or will be submitted to the clearance procedures of the Commissione Nazionale per le Società e la Borsa (CONSOB) pursuant to Italian laws and regulations.

The Offers are being carried out in the Republic of Italy (Italy) as exempted offers pursuant to article 101-bis, paragraph 3-bis of the Legislative Decree No. 58 of 24 February 1998, as amended (the Financial Services Act) and article 35-bis, paragraph 4 of CONSOB Regulation No. 11971 of 14 May 1999, as amended.

Any holder or beneficial owner of the Notes may tender their Notes for purchase in the Offers through authorised persons (such as investment firms, banks or financial intermediaries permitted to conduct such activities in the Republic of Italy in accordance with the Financial Services Act, CONSOB Regulation No. 16190 of 29 October 2007, as amended from time to time, and Legislative Decree No. 385 of 1 September 1993, as amended) and in compliance with applicable laws and regulations or with requirements imposed by CONSOB or any other Italian authority.

The communication of the Tender Offer Memorandum and any other documents or material relating to the Offers have not been made and such documents and/or materials have not been approved by an authorised person for the purposes of section 21 of the Financial Services and Markets Act 2000. Accordingly, such documents and/or materials are not being distributed to, and must not be passed on to, the general public in the United Kingdom. Neither the Tender Offer Memorandum nor any other document or material relating to the Offers has been or shall be distributed to the public in France and only (i) providers of investment services relating to portfolio management for the account of third parties (personnes fournissant le service d'investissement de gestion de portefeuille pour compte de tiers) and/or (ii) qualified investors (investisseurs qualifiés), other than individuals, in each case acting for their own account, all as defined in, and in accordance with, Articles L.411-1, L.411-2 and D.411-1 of the French Code Monétaire et Financier, are eligible to participate in the Offers. The Tender Offer Memorandum has not been and will not be submitted for clearance to nor approved by the Autorité des Marchés Financiers.

Belgium

Neither the Offers, the Tender Offer Memorandum nor any other documents or materials relating to the Offers have been submitted to or will be submitted for approval or recognition to the Financial Services and Markets Authority (Autorité des services et marches financiers / Autoriteit financiële diensten en markten) and, accordingly, the Offers may not be made in Belgium by way of a public offering, as defined in Articles 3, §1, 1°  and 6 of the Belgian Law of 1 April 2007 on public takeover bids (the Belgian Takeover Law) as amended or replaced from time to time. Accordingly, the Offers may not be advertised and the Offers will not be extended, and neither the Tender Offer Memorandum nor any other documents or materials relating to the Offers (including any memorandum, information circular, brochure or any similar documents) has been or shall be distributed or made available, directly or indirectly, to any person in Belgium other than (i) to "qualified investors" in the sense of Article 10 of the Belgian Law of 16 June 2006 on the public offer of placement instruments and the admission to trading of placement instruments on regulated markets (as amended from time to time), acting on their own account or (ii) in any circumstances set out in Article 6, §4 of the Belgian Takeover Law. Insofar as Belgium is concerned, the Tender Offer Memorandum has been issued only for the personal use of the above qualified investors and exclusively for the purpose of the Offers. General

Neither this announcement nor the Tender Offer Memorandum constitutes an offer to buy or the solicitation of an offer to sell Notes (and tenders of Notes will not be accepted from Noteholders) in any circumstances in which such offer or solicitation is unlawful. In those jurisdictions where the securities, blue sky or other laws require the Offers to be made by a licensed broker or dealer or similar and any of the Dealer Managers and their respective affiliates is such a licensed broker or dealer or similar in any such jurisdiction, such Offers shall be deemed to be made by such Dealer Manager or such affiliate, as the case may be, on behalf of the Company in such jurisdiction.

In addition to the representations referred to above in respect of the United States, each Noteholder participating in an Offer will also be deemed to give certain representations in respect of the other jurisdictions referred to above and generally as set out in the Tender Offer Memorandum. Any tender of Notes for purchase pursuant to an Offer from a Noteholder that is unable to make these representations may be rejected. Each of the Company, the Dealer Managers and the Tender Agent reserves the right, in its absolute discretion (and without prejudice to the relevant Noteholder's responsibility for the representations made by it), to investigate, in relation to any tender of Notes for purchase pursuant to any Offer, whether any such representation given by a Noteholder is correct and, if such investigation is undertaken and as a result the Company determines (for any reason) that such representation is not correct, such tender may be rejected.
